Why Companies Need Document Certification

Thai companies regularly need certified and legalized documents for a range of business activities. Whether you are expanding internationally, dealing with foreign investors, applying for government contracts, or registering a branch office abroad, the Thai MFA legalization process is the mechanism that authenticates your company documents for official use.

Unlike personal document certification, business document certification involves additional requirements around company authorization and director verification. Getting these wrong means rejection and delays that can impact business timelines and deal closures.

Required Documents for MFA Submission

Before the MFA will process your company documents, you must provide the following supporting documentation:

  1. Power of Attorney (POA) – From an authorized director, with company seal if applicable. The POA authorizes the submission on behalf of the company
  2. Director’s passport – For foreign directors. Thai national directors must provide ID card and house registration copies instead
  3. Company certificate with authorized signature – This certificate must not be older than 6 months from the date of submission (official MFA limit)
3-Month Rule

Company certificates submitted for MFA certification must have authorized signatures and must not be older than 6 months (the official MFA limit). If your company certificate is older than 6 months, you must obtain a fresh one from the Department of Business Development before submitting to the MFA.

Common Business Documents Needing Certification

The most frequently certified business documents include:

Company Registration Certificates

The foundational document proving your company’s legal existence. Required for virtually all international business activities, from opening foreign bank accounts to registering branch offices abroad.

Shareholder Lists (BorOrJor5)

The official list of company shareholders filed with the Department of Business Development. Foreign partners, investors, and regulatory bodies frequently request certified copies of this document.

Articles of Association

Your company’s governing document outlining its structure, purpose, and operational rules. Needed for corporate partnerships, joint ventures, and regulatory filings in other countries.

Financial Statements

Audited financial statements may need certification for international tenders, foreign bank relationships, or regulatory compliance in other jurisdictions.

Board Resolutions

Decisions made by the board of directors that authorize specific actions. These often need certification when they relate to international transactions, foreign investments, or cross-border agreements.

Translation Pricing for Business Documents

Business documents typically require verified translation services before MFA submission. Here are the current rates for common business document types:

  • Business Registration – 450 to 900 THB per page (Thai to English)
  • BorOrJor5 (Shareholder copy) – 750 THB per page
  • Land Deed – 550 to 850 THB per page (relevant for property-holding companies)

MFA legalization adds a government fee of 200 THB per legalization stamp for regular service (400 THB per stamp for same-day express where the document type qualifies) plus a service charge of 1,800 THB per submission. For companies with multiple documents, submitting them together in one batch is more cost-effective.

When MFA Cannot Verify the Signature

Occasionally, the MFA encounters a signature on your documents that they cannot verify against their records. When this happens, the MFA does not reject the document outright. Instead, they send a verification letter to the issuing agency asking them to confirm the signature.

A signature-verification referral can extend processing. The issuing agency controls the response time, so treat any estimate as provisional and allow additional time for deadline-sensitive work.

Signature Verification Delays

When the MFA cannot verify a signature, it may request confirmation from the issuing agency. The resulting delay varies, so build contingency time into deadline-sensitive transactions.

The Full Process: Translation, Certification, and MFA

Here is the complete sequence for getting your business documents legalized:

  1. Gather source documents – Obtain fresh copies of all documents needed. Ensure company certificates are less than 6 months old
  2. Prepare supporting documents – Power of Attorney, director identification, company certificate with authorized signature
  3. Translation – Have all Thai-language documents professionally translated into the target language (usually English)
  4. Certification – The translation is certified with translator statement, signature, and company seal
  5. notary services – If required by the receiving country, have the translation notarized by a Notarial Services Attorney
  6. document authentication – Submit the complete package to the Thai MFA for authentication
  7. Embassy legalization – If the documents are destined for a specific country, the receiving country’s embassy may need to further authenticate them

BOI-Promoted Companies: Additional Requirements

Companies operating under Board of Investment (BOI) privileges may need additional documentation for investment-related certifications. BOI-promoted companies often deal with specific regulatory requirements that affect how their documents are certified and legalized. If your company holds BOI privileges, confirm any additional requirements with your BOI officer before beginning the certification process.

Branch Offices, Representative Offices, and Holding Structures

Multiple Directors

If your company has multiple authorized directors, ensure the Power of Attorney is signed by a director whose signature the MFA can verify. Using a director who recently changed or was recently appointed may trigger the signature verification process described above.

Company Seal

While not all Thai companies are required to have a company seal, having one on your POA and other submission documents adds a layer of authentication that can smooth the MFA process. If your company has a registered seal, use it.

Bulk Submissions

Companies needing multiple documents certified should submit them together. This reduces the per-document cost (one service charge covers the batch) and ensures all documents are processed on the same timeline.

Plan Ahead for Business Deadlines

Official regular MFA service is within 2 working days (excluding the filing day), but files referred for signature verification can take 2–4 weeks and officially up to 45 days. You should start the certification process at least 6 weeks before your business deadline. Last-minute submissions create unnecessary risk.
